Governing Body

Eastrop is a stand-alone academy trust, not linked to a larger academy chain. An academy trust is a charitable company limited by guarantee. All academy trusts are expected to have two layers of governance which constitute the whole governing body:

Members are the subscribers to its memorandum of association, and any other individuals permitted under its charitable articles of association. Members have a limited financial liability to the trust in the event it is wound up and have the power to appoint and remove trustees.

Trustees (sometimes known as directors) are responsible for ensuring the charitable company achieves its objectives, as well as compliance with charity and company law and the academy trust’s funding agreement.

In all types of schools, governing bodies should have a strong focus on three core strategic functions:

  1. Ensuring clarity of vision, ethos and strategic direction
  2. Holding the Head Teacher to account for the education and performance of the school and its pupils
  3. Overseeing the financial performance of the school and making sure its money is well spent
